i got it figured now!!
Go to WaW/main/iw_02.iwd and unzip it, drag file name decal_flag_nuetral_c.iwi to your desktop,
Using the dds2iwi and iwi2dds converter tools, drag the decal_flag_nuetral_c.iwi on top of the
iwi2dds executable, and let go.
doing so will spit out a DDS file called "decal_flag_nuetral_c.iwi_out.dds, you can now edit this file in photoshop
edit it to how you want it then Choose .dds as your save format,
and when the options appear, make sure you have DXT5 selected?,
and check the box that says to generate Mip Maps. Save this as "decal_flag_nuetral_c.dds".
Now click your new file and drag it on to the dds2iwi executable and let go.
Doing so will create an IWI file called "decal_flag_nuetral_c.iwi".

now on your desktop, Right-click and create a new folder. Name it "mp_yourmapnamehere"
Navigate into the folder you just created and create a new folder inside it called "images"
Place your new "decal_flag_nuetral_c.iwi" file into the "images" folder you just created
Now right-click your "images" folder and highlight "Send To".
When the side menu appears choose "Compressed (zipped) Folder". (this will create a file called "images.zip").
Rename "images.zip" to "mp_yourmapnamehere_yournewtexturename.iwd".
(It will ask you if this is okay to do. Click Yes).
place your new iwd folder into your usermaps/mp_mymapname folder,
alongside your localised_mp_yourmapname.ff, mp_yourmapname.ff and mp_yourmapname.iwd files....
then compile

at first this method didn't work on an existing flag I had in my map, but after adding new ones and recompiling
it worked a treat!
also all 'neutral flags', whether static or moving, will have their textures changed..........[wave]
