Simply because EA clearly state they would not. And that when they bought 40% of Ubi's shares, they clearly said it was not to gain control.

(Ubi tryed to make it look like it was an abusive action)

Anyway, from what I remember, it makes EA unable to buy Ubi for the next 5 years, or something like that.
